What if I Violate My Non-Disclosure Agreement?

If you violate any of the terms of confidentiality in your non-disclosure agreement, your employer might be entitled to:

• Get an injunction to stop you from further disclosure
• Sue you for damages
• Press criminal charges against you
• Or do all of the above

Violating the terms of confidentiality in your non-disclosure agreement in ways that misappropriate trade secrets is unlawful under state and Federal laws. For example, the Economic Espionage Act of 1996 protects trade secrets at the Federal level, while the Uniform Trade Secrets Act protects them at the state level. Your state might have other laws that make violation of a non-disclosure agreement unlawful.
